本合同甲方委托乙方就 编写 进行技术咨询服务，并支付咨询报酬。双方经过平等协商，在真实、充分表达各自意愿的基础上，根据《中华人民共和国合同法》的规定，达成如下协议，并由双方共同恪守。
第一条、乙方进行咨询服务的内容、要求和方式：

3第二条、乙方应当按照下列要求完成本合同项目的技术咨询工作：甲、乙双方签订本合同后乙方即开展工作，并在甲方提供基础技术资料（详见第三条）和首付款后 个工作日完成报告书的编制工作和评审工作，向甲方提交报告书 伍 份。
第三条、为保证乙方有效进行工作，甲方应当向乙方提供下列协作事项：

2、提供工作条件：
甲方须指定本项目的联系人 ，为环评单位到现场收集资料提供便利条件，协助乙方进行现场踏勘。
第四条、甲方向乙方支付技术咨询报酬金额及方式为：

第五条、本合同的变更必须由双方协商一致，并以书面形式确定。
第六条、双方确定，按以下标准和方式对乙方提交的技术咨询工作成果进行验收：

2、技术咨询工作成果的验收标准：评价报告书符合国家相关法律、法规、标准和当地环保部门的审批要求。
3、技术评估意见。
第七条、双方确定，按以下约定承担各自的违约责任：
甲方违反本合同第 3、4 条约定，甲方承担违约责任，应当每日按咨询费总额 0.1% 向乙方支付违约金。
乙方违反本合同第 1、2条约定，乙方承担违约责任，每延期一日，应当每日按咨询费总额 0.1% 向甲方支付违约金。
第八条、双方确定：
1、在本合同有效期内，甲方利用乙方提交的技术咨询工作成果所完成的新的技术成果，归双方所有。
2、在本合同有效期内，乙方利用甲方提供的技术资料和工作条件所完成的新的技术成果，归双方所有。
第九条、双方确定，在本合同有效期内，甲方指定 为甲方项目联系人，乙方指定 为乙方项目联系人。项目联系人承担以下责任：
1、负责项目的联系。
一方变更项目联系人的，应当及时以书面形式通知另一方。未及时通知并影响本合同履行或造成损失的，应承担相应的责任。
第十条、双方确定，出现下列情形，致使本合同的履行成为不必要或不可能的，可以解除本合同：

调整应及时以书面形式通知对方。收到通知的一方如在三日内无书面异议，视为认可；
5、 乙方对甲方工作而涉及的商业秘密承担保密责任；
6、 甲方提供乙方技术服务人员在服务期间的交通、食宿条件及相关资源；

7、 甲方应指定专人作为联络员配合乙方技术服务人员的工作。
五、违约责任
1、 甲乙双方任何一方违反本合同或擅自提前终止本合同均应承担违约责任；
2、 违约方除承担本合同规定的全部咨询服务费外，还应支付给守约方违约（按合同金额的25%）
以弥补给其造成的损失；
3、 违约方必须明确责任后一个月内结清所有违约费用，否则，每月按总金额的1.5%交付滞纳金。
六、争议解决法律适用
1、 本合同受中华人民共和国法律约束，有关本合同的效力、解释和履行过程中的一切纠纷均由甲
方所在地的中华人民共和国法院管辖处理；
2、 双方所达成的任何其它一致均构成本合同不可或缺的一部分，与本合同具有同等的法律效力，
其中若有冲突之处，以最后达成的为准。
七、合同文本、文字及生效
1 本协议自双方代表签字并加盖公章之后生效；
2 本协议一式贰份，双各方执壹份。

3. 乙方对甲方提供的资料及甲分的商业秘密、知识产权具有保密责任，未经甲方允许不得提供给第三方。
第二条 为保证乙方能及时、有效开展技术咨询服务工作，甲方应承担下列义务与责任：
1. 按乙方的要求及时、准确提供编撰项目申报材料所需的资料。
2. 积极配合乙方开展项目调研、项目申报材料修订完善等有关工作。
3. 甲方对提供资料的真实性、合法性负责
第三条 项目技术咨询服务费及支付方式：
1. 甲分向乙方支付的技术服务费包括项目前期工作费和项目技术咨询服务费两部分，其中：
项目前期工作费（含专家咨询费、材料费、人工费、交通费、通讯费等）人民币 贰万伍仟元（￥25000.00元） ；
2、技术咨询服务费支会方式及时间如下：
（1）项目合同签订之日，一次性支付技术咨询服务费60%，即人民币 壹万伍仟元整（￥15000.00元）；
（2）若项目在国家农业开发办公室立项，则在项目立项第一笔资助经费到位后10日内须一次性支付技术咨询服务费40%，即人民币 壹万元整（￥10000.00元）；

第五条 违约责任：

第六条 合同纠纷解决方式
甲、乙双方认可本合同履行地在永州市冷水滩区，如合同履行发生争议，又方应协商解决，协商不成，甲、乙双方中任何一方可以向永州市冷水滩区人民法院提起诉讼，通过法律途径解决净议。
第七条 本合同经双方签字盖章后生效，合同有效期限为本合同生效之日起至本合同权利与义务完成时止。
第八条 本合同一式贰份，甲乙双方各持壹份，具有同等法律效力。

信息技术服务合同书

甲乙双方经充分协商，达成以下协议，承诺共同遵守：
一、 内容

四、 双方责任
（1）乙方应保证甲方信息的正常发送。
（2）信息发送中若出现手机信息接收方的投诉或信息发送内容违反本协议第五条约定的,责任由甲方负责。
（3）甲方所要发送的商务信息内容应提前一天向乙方提交。一般情况下，在甲方递交信息内容后乙方在24小时内会发送完毕。
（4）如乙方原因导致甲方不能正常发送信息，甲乙双方经友好协商予以妥善解决。
（5）乙方平台对于甲方提交的商务信息在早上8：00—18：00时段发送。甲方要求乙方超出此时段发布，乙方有权予以拒绝,特殊情况双方另行解决.
（6）甲方不能向乙方指定帐号以外的任何帐号汇款，否则该项财务核算为无效（特殊情况经双方确认授权，可以适当变通）。
五、 安全责任
甲方保证所递交发送信息内容的合法性，并对发送的信息内容单独承担责任，不得传播含有以下内容信息：
（1）违反中华人民共和国宪法所确定的基本原则的。
（2）危害国家安全，泄露国家秘密，颠覆国家政权，破坏国家统一的。
（3）损害国家荣誉和利益的。
（4）煽动民族仇恨、民族歧视，破坏民族团结的。
（5）破坏国家宗教政策，宣扬邪教和封建迷信的。
（6）造谣中伤，扰乱社会秩序，破坏社会稳定的。
（7）反动、色情、淫秽、赌博、暴力、凶杀、恐怖、恐吓或者教唆犯罪的。
（8）侮辱、谩骂、诽谤他人的。
（9）中华人民共和国法律、行政法规所禁止的其它内容的。
六、 免责条件
（1）双方任何一方由于火灾、自然灾害、战争或政策等不可抗力因素不能履行或不能完全履行合同时，均应及时以书面形式通报对方，作为免责手续。不可抗力事件结束后，双方应协商继续履行合同，合同不能继续履行的，乙方退还甲方剩余信息费用。
（2）因骨干网或传输网故障及国家或移动运营商政策变化导致双方合作无法继续履行的，双方互不追究责任。乙方退还甲方剩余信息费用。
七、 本协议自双方代表或其授权人签字（加盖公章）之日起生效，协议未尽事宜由双方另行友好协商解决，本协议一式二份，甲方执一份，乙方执一份，双方效力对等。

Consultant shall complete the Services within__________months from the Effective Date of this Contract and furnish the final technical service report, including drawings, designing documents, all kinds of standards and photos, within____months. 第二 双方的责任和义务 Article 2 Both Parties' Responsibility and Liability
2.1 委托方应向咨询方提供有关的资料、技术咨询报告、图纸和可能得到的信息并给予咨询方开展工作提供力所能及的协助，特别是委托方应在适当时候指定一名总代表以便能随时予以联系。
Client shall furnish to Consultant the pertinent data, technical service reports, maps and information available to him and shall give to Consultant the reasonable assistance necessary for carrying out of his duties. Particularly Client shall nominate a general representative who shall be available at reasonable time.
2.2 委托方应协助咨询方向有关机构取得护照签证、工作许可和咨询方要求的其它文件以使咨询方能进入委托方国家和本工程的现场，但费用由咨询方负担。【技术咨询服务合同模板】
Client shall assist Consultant with the responsible authorities for obtaining visas, work permits and other documents required by Consultant to enter the country and to have access to the Site of the Project. The above expenses shall be borne by Consultant.
2.3 除了合同附件三所列的技术人员外，咨询方还应提供足够数量的称职的技术人员来履行本合同规定的义务。咨询方应对其所雇的履行合同的技术人员负完全责任并使委托方免受其技术人员因执行合同任务所引起的一切损害。
Consultant shall furnish a sufficient number of competent personnel to perform its obligation hereunder, in addition to those personnel specifically listed in Appendix 3. All personnel employed by Consultant in carrying out the work shall be exclusively Consultant's responsibility, and Consultant shall hold Client harmless from any claims of any kind by Consultant's personnel arising out of any acts by Consultant or its personnel in connection with the work performed hereunder.
2.4 咨询方应根据咨询服务的内容和进度安排，按时提交咨询技术咨询报告及有关图纸资料。
Consultant shall provide Client all the technical technical service reports and relevant documentation within the Scope of Technical Services and within the Time Schedule of the Time Schedule for the Services.
2.5 咨询方应协助委托方的技术人员获得进入咨询方国家的签证并负责安排食宿，食宿费用由委托方负担。咨询方应为委托方的技术人员提供办公室、必要的设施和交通便利。
Consultant shall assist Client＇S personnel in his country in obtaining visas and in arranging lodgings. Hotel and boarding expenses shall be borne by Client. Consultant shall supply to Client＇S personnel office space and necessary facilities as well as transportation.
2.6 咨询方对因执行其提供的咨询服务而给委托方和委托方工作人员造成的人身损害和财产损失承担责任并予以赔偿，但这种损害或损失是由于咨询方人员在履行本合同的
活动中的疏忽所造成的。咨询方仅对本合同项下的工作负责。
Consultant shall be responsible for and shall indemnify Client and his employee in respect of injury to person or damage to property occurring in connection with the services, to the extent that such damage or injury directly results from negligence of Consultant's personnel while engaged in activities under this Contract.Consultant shall be liable only to the work under this Contract.
2.7 咨询方对本合同的任何和所有责任都限定在咨询方因付出专业服务而收到的合同总价之内，并将在本合同第7．3条规定的保证期满后解除。
Any and all liability of Consultant with respect to this Contract shall be limited to the Total Contract Price received by Consultant for his profession services and shall terminate upon expiration of the warranty period set forth in Article 7.3.

3.2 本合同总价包括咨询方所提供的所有服务和技术费用，为固定不变价格，且不随通货膨胀的影响而波动。合同总价包括咨询方在其本国和委托方国家因履行本合同义务所发生的一切费用和支出和以各种方式寄送技术资料到委托方办公室所发生的费用。如发生本合同规定的不可抗力，合同总价可经双方友好协商予以调整。如果委托方所要求的服务超出了本合同附件一规定的范围，双方应协商修改本合同总价，任何修改均需双方书面签署，并构成本合同不可分割的部分。
The total contract price will include all the service and technology provided by Consultant. The total contract price shall be firm and fixed and shall not fluctuate with any inflation. The total contract price shall include all charges and expenses incurred by Consultant in performing his obligations both in his own country and in the People's Republic of China and includes the expenses incurred in sending the Technical Documentation to Client's office by all kinds of forms. In the event of Force Majeure as defined in the Contract, the total contract price shall be readjusted through friendly negotiations between the parties. If Client requires services not contemplated in the Scope of Services the parties shall friendly discuss an amendment to the total contract price. Any such amendment shall be in writing countersigned by both parties. This document shall then form integral part of the Contract.

第一条 合同内容

The Manning Schedule is described in Appendix 3.
1.5 技术咨询服务自合同生效之日起_____个月内完成，将在_____个月内提
交最终技术咨询报告，包括图纸、设计资料、各类规范和图片等。咨询方应免费通报委托方类似工程的最近发展和任何进展，以便委托方能改进该工程的设计。 Consultant shall complete the Services within__________months from the Effective Date of this Contract and furnish the final technical service report, including drawings, designing documents, all kinds of standards and photos, within__________months. Consultant shall keep aware, free of charge, Client of the latest development of similar projects and any progress made in order to improve the designing of the project.
第二 双方的责任和义务
Article 2 Both Parties' Responsibility and Liability
2.1 委托方应向咨询方提供有关的资料、技术咨询报告、图纸和可能得到的信息并给予咨询方开展工作提供力所能及的协助，特别是委托方应在适当时候指定一名总代表以便能随时予以联系。
Client shall furnish to Consultant the pertinent data, technical service reports, maps and information available to him and shall give to
Consultant the reasonable assistance necessary for carrying out of his duties. Particularly Client shall nominate a general representative who shall be available at reasonable time.
2.2 委托方应协助咨询方向有关机构取得护照签证、工作许可和咨询方要求的其它文件以使咨询方能进入委托方国家和本工程的现场，但费用由咨询方负担。 Client shall assist Consultant with the responsible authorities for obtaining visas, work permits and other documents required by
Consultant to enter the country and to have access to the Site of the Project. The above expenses shall be borne by Consultant.
2.3 除了合同附件三所列的技术人员外，咨询方还应提供足够数量的称职的技术人员来履行本合同规定的义务。咨询方应对其所雇的履行合同的技术人员负完全责任并使委托方免受其技术人员因执行合同任务所引起的一切损害。
Consultant shall furnish a sufficient number of competent personnel to perform its obligation hereunder, in addition to those personnel specifically listed in Appendix 3. All personnel employed by Consultant in carrying out the work shall be exclusively Consultant's
responsibility, and Consultant shall hold Client harmless from any claims of any kind by Consultant's personnel arising out of any acts by Consultant or its personnel in connection with the work performed hereunder.
2.4 咨询方应根据咨询服务的内容和进度安排，按时提交咨询技术咨询报告及
有关图纸资料。
Consultant shall provide Client all the technical technical service reports and relevant documentation within the Scope of Technical Services and within the Time Schedule of the Time Schedule for the Services.
2.5 咨询方应协助委托方的技术人员获得进入咨询方国家的签证并负责安排食宿，食宿费用由委托方负担。咨询方应为委托方的技术人员提供办公室、必要的设施和交通便利。
Consultant shall assist Client＇S personnel in his country in obtaining visas and in arranging lodgings. Hotel and boarding expenses shall be borne by Client. Consultant shall supply to Client＇S personnel office space and necessary facilities as well as transportation.
2.6 咨询方对因执行其提供的咨询服务而给委托方和委托方工作人员造成的人身损害和财产损失承担责任并予以赔偿，但这种损害或损失是由于咨询方人员在履行本合同的活动中的疏忽所造成的。咨询方仅对本合同项下的工作负责。 Consultant shall be responsible for and shall indemnify Client and his employee in respect of injury to person or damage to property occurring in connection with the services, to the extent that such damage or injury directly results from negligence of Consultant's personnel while engaged in activities under this Contract.Consultant shall be liable only to the work under this Contract. _x0019_
2.7 咨询方对本合同的任何和所有责任都限定在咨询方因付出专业服务而收到的合同总价之内，并将在本合同第7．3条规定的保证期满后解除。
Any and all liability of Consultant with respect to this Contract shall be limited to the Total Contract Price received by Consultant for his profession services and shall terminate upon expiration of the warranty period set forth in Article 7.3.
第三条 价格与支付
Article 3 Price and Payment

3.2 本合同总价包括咨询方所提供的所有服务和技术费用，为固定不变价格，且不随通货膨胀的影响而波动。合同总价包括咨询方在其本国和委托方国家因履行本合同义务所发生的一切费用和支出和以各种方式寄送技术资料到委托方办公室所发生的费用。如发生本合同规定的不可抗力，合同总价可经双方友好协商予以调整。如果委托方所要求的服务超出了本合同附件一规定的范围，双方应协商修改本合同总价，任何修改均需双方书面签署，并构成本合同不可分割的部分。 The total contract price will include all the service and technology provided by Consultant. The total contract price shall be firm and fixed and shall not fluctuate with any inflation. The total contract price shall include all charges and expenses incurred by Consultant in performing his obligations both in his own country and in the People's Republic of China and includes the expenses incurred in sending the Technical Documentation to Client's office by all kinds of forms.
In the event of Force Majeure as defined in the Contract, the total contract price shall be readjusted through friendly negotiations
between the parties. If Client requires services not contemplated in the Scope of Services the parties shall friendly discuss an amendment to the
total contract price. Any such amendment shall be in writing countersigned by both parties. This document shall then form integral part of the Contract.
3.3 委托方向咨询方的所有付款均通过委托方所在地的___________银行以电汇方式支付到__________银行咨询方的帐户上。 对咨询方提供的服务，委托方将以下列方式或比例予以付款：
All payments to be made by Client to Consultant under the present Contract shall be made by telegraphic transfer. In case of any payment by Client, the payment shall be effected
